PUBLIC MEETING NOTICE The Montgomery County Higher Education and Health Authority (the "Authority") will hold a public hearing on December 1, 2017 at 9:00 a.m., in the offices of the Authority's Solicitor located at the Law of Office of Douglas B. Breidenbach, Jr., Esquire, 1800 East High Street, Suite 250, Pottstown, Pennsylvania 19464 to discuss the issuance of tax-exempt and taxable revenue bonds pursuant to a plan of finance (the "Bonds") for the following project (the "Project"): A. Initial Owner: Thomas Jefferson University, a Pennsylvania non-profit corporation, and certain of its controlled affiliates (collectively, "Jefferson"), including: Abington Health, Abington Health Foundation, Abington Memorial Hospital and Lansdale Hospital, each a Pennsylvania non-profit corporation (collectively, the "Abington Entities"); Aria Health System and one or more affiliates, including but not limited to Aria Health, Aria Health Physicians, Aria Health Orthopaedics, and Hospital Medical Imaging, Inc., each a Pennsylvania non-profit corporation (collectively, the "Aria Entities"); TJUH System, Thomas Jefferson University Hospitals, Inc., and Jefferson University Physicians, each a Pennsylvania non-profit corporation (collectively, the "TJU Entities"); Philadelphia University, a Pennsylvania non-profit corporation ("Philadelphia University"); and Kennedy Health System, Inc., Kennedy University Hospital, Inc. and one or more affiliates, each a New Jersey non-profit corporation (collectively, the "Kennedy Entities"). B. Principal Amount of Bonds: not to exceed $650,000,000 (exclusive of any original issue discount or premium). C. Description of the Project to be Financed: (i) the advance refunding of all or a portion of the Montgomery County Higher Education and Health Authority Hospital Revenue Bonds, Series A of 2012 (Abington Memorial Hospital Obligated Group); (ii) the refinancing of all or a portion of certain commercial loans incurred for the benefit of the Aria Entities, in the aggregate original principal amount of approximately $17,370,000; (iii) the acquisition of the membership interest in Philadelphia University through the payment or defeasance of all or a portion of (a) Pennsylvania Higher Educational Facilities Authority ("PHEFA") Philadelphia University Refunding Revenue Bonds, Series 2007; (b) PHEFA's Philadelphia University Revenue Bonds, Series 2011A; (c) PHEFA's Philadelphia University Refunding Revenue Bonds, Series 2013; and (d) the Philadelphia Authority for Industrial Development Philadelphia University Revenue Bond, Series 2016; (iv) the acquisition of the membership interests in the Kennedy Entities through the payment or defeasance of all or a portion of (a) the New Jersey Health Care Facilities Financing Authority ("NJHCFFA") Revenue Bonds Kennedy Health Facilities, Inc. Issue, Series 2009; (b) NJHCFFA's Revenue and Refunding Bonds, Kennedy Health System Obligated Group Issue, Series 2012; (c) certain commercial loans issued in the maximum principal amount of $71,000,000; (v) the costs of the acquisition, construction and development of various capital assets and the making of other capital improvements in various academic health care, research, education and clinical care programs and related missions of TJU and its affiliates, including, but not limited to (a) the construction, renovation, expansion, development and equipping of an approximately 60,000 gross square foot, four-story health science center building, associated site work, storm water management and related improvements at the East Falls campus of Philadelphia University; (b) the construction, renovation, expansion, development and equipping of an approximately 226,000 gross square foot, eight-story patient care tower, including, but not limited to, an intensive care unit, multiple medical/surgical nursing units and surgical suites, diagnostic testing space and rooftop helipad, and related support areas at the Cherry Hill, New Jersey campus of TJU; and (c) miscellaneous capital projects approved in the capital budget; (vi) the funding of any necessary reserves for the Bonds; (vii) the payment of capitalized interest on the Bonds, and (viii) the payment of certain costs and expenses incident to the issuance of the Bonds. The proceeds of the above-listed prior bonds and obligations were issued to finance and refinance the acquisition, renovation, improvement, development and equipping of a portion of the existing healthcare facilities of the Aria Entities and the Abington Entities, the existing educational and healthcare facilities of the TJU Entities, the existing educational facilities of Philadelphia University and the existing healthcare facilities of the Kennedy Entities.
