OF COLLATERAL BY SECURED PARTY
Notice is hereby given that a public auction ("Sale") will be held on Thursday, September 19, 2013 at 3:00 p.m. EDT in the offices of Pepper Hamilton LLP, Two Logan Square, Eighteenth and Arch Streets, Philadelphia, PA 19103.
The Sale will be held pursuant to Section 9-610 et. seq. of the Uniform Commercial Code and that certain Promissory Note and Security Agreement (the "Security Agreement") between ISBN Stores, LLC ("Debtor") and MUTM, LLC ("Secured Creditor") dated as of March 11, 2013, which grants Secured Creditor a security interest in all assets of Debtor. Secured Creditor will sell (a) tangible personal property owned by Debtor, including equipment and inventory, (b) customer, supplier and other contracts relating to Debtor's business (to the extent assignable), (c) intellectual property and related assets, including customer lists, trademarks, service marks, and web address, (d) all other assets of Debtor arising from or used in connection with the business known as Tommy Gunns and/or American Barbeque, including accounts and general intangibles, and (e) all other assets of Debtor that secure its obligations to Secured Creditor (the "Collateral"). At the Sale, Secured Creditor will offer its rights, title and interest in and to Debtor's interests in the Collateral.
Terms and Conditions of Sale: The Collateral will be offered for sale and sold to the highest bidder(s) with the highest or best bid(s) for cash. Secured Creditor reserves the right to offer the Collateral for sale in bulk only or in lots. The Sale will be "AS IS, WHERE IS", with all faults and without any representations or warranties of any kind by Secured Creditor, expressed or implied, including without limitation, merchantability, fitness for a particular purpose, condition or title, possession, quiet enjoyment, or the like. All purchase payments must be paid by cashier's check or certified check or by wire transfer, payable to Secured Creditor for the full amount of the sale price at the Sale. Secured Creditor reserves the right, on or prior to the Sale, to modify, waive or amend any terms and conditions of the Sale and if Secured Creditor deems appropriate, to reject all bids or to continue the Sale, without further notice except as announced at the Sale. Secured Creditor reserves the right to credit bid its claim for some or all amounts due it from Debtor including costs, fees and interest.
A successful bid must be accompanied by a cashier's or certified check made payable to Secured Creditor in the amount of $100,000.00 (the "Deposit") with the balance payable in good funds within 24 hours of the Sale's conclusion. If a successful bidder fails to pay the balance within this time, the Deposit will be forfeited without prejudice to Secured Creditor's rights and remedies against the defaulting highest bidder(s).
Secured Creditor is establishing an opening bid for the Collateral in bulk in the amount of $100,000.00 (the "Opening Bid"). Any other bid(s) must be at least in an amount of $5,000.00 over the amount of the Opening Bid and will proceed in minimum increments of $5,000.00 thereafter.
If Secured Creditor accepts a bid and the bid price is fully and timely paid, the prevailing bidder shall receive a secured party bill of sale or transfer statement with no representations or warranties of any kind or nature whatsoever.
